Third Sector organisations can be constituted in many different ways. For example:

  • a company limited by shares
  • a company limited by guarantee
  • a community interest company

When setting up, and periodically thereafter, any organisation should review its core constitution to ensure it reflects the work done and the aims and objectives of the organisation. The constitution must meet today’s standards of corporate governance.  We have extensive experience in this area. It may also be appropriate to set up a group structure depending on the business plan going forward, for example, a parent body and a subsidiary.

bto can offer option appraisals / reports looking at different ways forward and identifying the most suitable route for a particular organisation setting up.  We can also assist with the implementation of the chosen option.

When setting up, as well as the constitution, there may be important initial contract or other documentation (for example, a shareholders agreement, a key contract, employment documentation) that should be considered.  We can advise and ensure that your organisation has everything in place from day one.
